TERMS AND CONDITIONS

1. Service provider

The service is provided by ESVOE GROUP LTD, which operates under the laws of the United Kingdom; the office address is 20-22 Wenlock Road, London, England, N1 7GU (hereinafter the "Company", "ESVOE.VIDEO" "we", "us" or "our").

2. Your Account

2.1. In order to access or use some of our Services, you must create an account. When you create this account you must provide accurate and up-to-date information. It is important that you update your details and any other information you provide to us in a timely manner so that it remains current and complete.

2.2. It is also important that the password for your account is kept confidential and that you do not disclose it to any third party. If you know or suspect that someone knows your password or has access to your account, you must notify us immediately.

2.3. You agree that you are solely responsible (to us and others) for the activities that occur under your account.

2.4. If you no longer wish to use our Service and would like to delete your account, please contact us at: https://esvoe.video/contact-us. If you decide to delete your account, you will not be able to reactivate it and access the Content or information you have added.

3. Age restrictions

3.1. The Service may be used by persons aged 18 or over; however, children of any age may use the Service if they have been given permission by a parent or legal guardian.

3.2. If you are under the age of 18, you must obtain permission to use the Service from your parents or legal guardian, who must read this T&C with you.

3.3. If you are the mother or father or legal guardian of a User under the age of 18, and you allow your child to use the Service, you are subject to the terms of this T&C and you are responsible for how your child uses it.

4. Your access to our Services and your use of them

4.1. Your access to the services and your use of them is subject to this T&C and all applicable laws and regulations. You may not:

• access or use our Services unless you are fully legal and competent to accept this User T&C;
• make unauthorised copies, modify, adapt, translate, reverse engineer, decompile or create any derivative works based on our Services;
• distribute, license, transfer or sell, in whole or in part, any of our Services or any derivative thereof;
• sell, rent or lease our Services for a fee or use our Services to advertise or perform any commercial activity;
• use the Services without our written consent for commercial or other unauthorised purposes, including the distribution or promotion of any commercial advertising, solicitation or spamming;
• interfere or attempt to interfere in the operation of our Services, disrupt our website or any network related to the Services we provide, or circumvent any measures we may use to prevent or restrict access to our Services;
• incorporate our Services or any part thereof into any other programme or product. In such event, we reserve the right to refuse to provide the Services, to block your account or to restrict access to the Services in our sole discretion;
• use automated scripts to collect information or otherwise interact with our Services;
  • impersonate any person or entity, or falsely represent or otherwise misrepresent your identity or affiliation with any person or entity, including by giving the impression that any Content you upload, post, transmit, distribute or otherwise make available originates from our Services;
  • intimidate or harass other Users of our Services, or promote sexually explicit material, violence or discrimination based on race, gender, religion, nationality, disability, sexual orientation or age;
  • use or attempt to use someone other's account, service or system without the permission of ESVOE.VIDEO or create a false identity using our Services;
  • use our Services in a way that may create a conflict of interest or undermine the purpose of our Services, such as writing comments for money or asking you to write fake comments; and
  • use our Services to upload, transmit, distribute, store or otherwise provide access to: files that contain viruses, trojans, worms or other harmful or technologically harmful material; any unsolicited or unauthorized advertising, solicitation, promotional materials, "spam", "chain letters", "pyramid schemes" or any other prohibited form of solicitation; any third party personal information, including addresses, phone numbers, email addresses, numbers and document details (e.g. national insurance numbers, passport numbers) or credit card numbers; any material that infringes or may infringe any copyright, trademark or other intellectual property rights or the privacy rights of any other person; any material that is defamatory towards another person, obscene, offensive, pornographic, hateful or inflammatory; any material that would constitute, encourage or instruct the commission of a criminal offence, dangerous activity or self-harm; any material that is intentionally designed to provoke or cause a hostile reaction in people, especially trolling and bullying, or is intended to harass, harm, intimidate, cause distress to people; any material that contains threats of any kind, including threats of physical violence; any material that is racist or discriminatory, including discrimination based on race, religion, age, gender, disability or sexual orientation.

5. The rights we have, including suspension or termination of your account

5.1. We may, but are not obliged to, moderate or review any of your Content for compliance with the T&C and/or any applicable law.

5.2. It is our right to suspend access to any Content you have posted on ESVOE.VIDEO that we become aware may not comply with the T&C and/or any applicable law while we investigate the suspected non-compliance or illegality of such Content. If we suspend access to any of your Content, you may request a review of our decision to suspend access to the relevant Content by contacting us at: https://esvoe.video/contact-us. After investigating the suspected non-compliance or illegality of the relevant Content, we may take any action we deem appropriate, including restoring access to the Content or permanently removing or deactivating access to the relevant Content without the need for any consent from you and without prior notification. You agree that you will, at your own expense, promptly provide us with all reasonable assistance (including providing us with copies of any information we request) in our investigation. We will not be liable for any losses incurred by you as a result of suspension of access to your Content or any other action we take in good faith to investigate any suspected non-compliance or illegality of your Content under this section.

5.3. If we suspend access to your Content or remove it, we will notify you by email or message to your ESVOE.VIDEO account, but we are not obligated to notify you in advance of such removal or suspension.

5.4. We reserve the right, in our sole discretion, to terminate your agreement with us and your access to ESVOE.VIDEO for any reason by giving you 10 days' notice by email or written notice to your ESVOE.VIDEO account. We may also suspend your access to your User account or terminate your agreement with us and your access to ESVOE.VIDEO immediately and without notice:

• if we consider that you have seriously or repeatedly breached or may have breached any part of the T&C, or if you are attempting or threatening to breach any part of the T&C in a way that has or may have serious consequences for us or another User; or
• if you take any action that in our opinion has resulted or may result in loss to us or damage to the reputation of ESVOE.VIDEO.

5.5. After termination of your account, we may treat your uploaded Content in any appropriate manner in accordance with our Privacy Policy (including removing it), and you will no longer be entitled to access your Content. There are no technical options on ESVOE.VIDEO to allow you to access your Content after your account is terminated.

5.6. We may investigate any suspected or alleged misuse, abuse or illegal use of ESVOE.VIDEO and cooperate with law enforcement authorities in such investigation.

5.7. We may also disclose any information or records in our possession or under our control about your use of ESVOE.VIDEO in accordance with our Privacy Policy.

6. Your Content

6.1. Content on the Service includes video, audio (such as music and other sound recordings), graphics, photographs, text (including comments and scripts), brand identity (including trade names, trademarks, service marks and logos), interactive features, software, indicators and other materials provided by you, ESVOE.VIDEO or a third party (collectively, the "Content"). Content may be placed on the Service and distributed by our Users, and ESVOE.VIDEO provides services for the placement of such Content. The person or organisation that uploaded it to the Service is responsible for the Content.

6.2. Users on their ESVOE.VIDEO account may upload Content to the Service. All Content that you choose to upload to the Service must comply with this T&C and the law.

6.3. You confirm that you own all intellectual property rights (for examples, copyrights and trademarks) to your Content, or that you have obtained all necessary rights to your Content as required to grant licences in respect of your Content to us and other Users.

6.4. You may remove your Content from the Service at any time. Before you delete Content, you may download a copy of it to your device. You must delete Content if you no longer have the rights required by these terms.

6.5. You retain full ownership of your Content.

6.6. By submitting Content to the Service, you grant ESVOE.VIDEO a license to all of your Content to perform any acts restricted by any intellectual property right (including copyright) in such Content for any purpose reasonably related to the provision and operation of ESVOE.VIDEO. Such actions include reproduction, distribution, modification, display and performance, and other dealings with your Content.

6.7. This licence, is perpetual, non-exclusive, worldwide, royalty-free and sub-licensable. Licences granted by you shall remain in force until the Content is deleted. Once the Content is deleted, the licences will expire unless otherwise provided by the operation of the Service or by law.

6.8. You waive any moral rights you may have under any applicable law to object to derogatory treatment of any Content you have posted on ESVOE.VIDEO. This disclaimer does not in any way affect your ownership of the intellectual property in your Content or the rights you have to prevent copying of your Content without your permission. This disclaimer is intended to allow us to add watermarks, stickers or text to your Content when handling your Content.

7. Intellectual property

7.1. We respect intellectual property rights and ask that you do the same. As a condition of your access and use of the Service, you agree not to use the Service to violate any intellectual property rights. We reserve the right, without notification, at any time and in our sole discretion, to block access and/or delete the account of any User who breaches, or is suspected of breaching, copyrights or other intellectual property rights.

8. Limited liability

8.1. Our Service is provided "as is" and we cannot guarantee its safety, reliability or perfect performance. To the extent permitted by law, we also disclaim all express and implied warranties, including implied warranties of fitness for a purpose for which such products are customarily used or for a particular purpose, inalienability of title and non-infringement of intellectual property rights.

8.2. We also do not control what people and others express or do and we are not responsible for their (or your) actions and conduct (online and offline) or the Content (including illegal or objectionable). Furthermore, we are not responsible for services and features offered by other people or companies, even if you access them through our Service.

8.3. Our liability for everything that happens on the Service (also referred to as "liability") is limited to the maximum extent permitted by law. In the case of problems with our Service, we are unable to predict all of their potential consequences. You agree that we shall not be liable for any lost profits or revenue, lost information or data, or for indirect, punitive or consequential damages arising out of or in connection with these Terms, even if we have been advised of the possibility of such damages. This provision also applies to the removal by us of your Content, information or account.

8.4. We do not authorise or approve Content on ESVOE.VIDEO, and the views expressed by Users on ESVOE.VIDEO do not necessarily reflect our views.

8.5. We do not grant you any rights with respect to the Content. Any such rights may only be granted to you by Users.

8.6. All Content is created, selected and made available by Users and not by us. We are not responsible for checking or moderating the Content, and we do not select or modify the Content that is stored or transmitted through ESVOE.VIDEO.

8.7. The materials we make available on ESVOE.VIDEO to Users are for general information only. We make no promise or warranty as to the accuracy or otherwise of such materials, or that Users will achieve any particular result or outcome from the use of such materials.

8.8. We make no promise that ESVOE.VIDEO is compatible with all devices and operating systems. You are responsible for the setting up of your information technology, device and computer software to access ESVOE.VIDEO. You must use your own virus protection software.

8.9. We are not responsible for the availability of the Internet, nor for any errors in your connection, device or other hardware or software that may occur in connection with your use of ESVOE.VIDEO.

8.10. Although we try to ensure that ESVOE.VIDEO is secure and free from bugs and viruses, we cannot guarantee that it is, and we have no control over the Content provided by Users.

8.11. We are not responsible for any lost, stolen or compromised User accounts, passwords, email accounts or any resulting unauthorised activity.

8.12. You acknowledge that once your Content is posted on ESVOE.VIDEO, we have no control over and no liability to you for the use of such Content by other Users or third parties. You may delete your account at any time, but you acknowledge that deleting your account will not by itself prevent distribution of any of your Content that may have been recorded by other Users in violation of the T&C or by third parties before your account is deleted.

9. Warning

9.1. According to the law, consumers have certain rights that cannot be changed or waived in accordance with the terms of the T&C. No provision of this T&C affects the rights you have as a consumer. Unless otherwise provided in this T&C or by law, ESVOE.VIDEO does not provide any special warranties in relation to the Service.

10. Applicable law and jurisdiction

10.1. This T&C, its subject matter and content shall be governed by the laws of the United Kingdom. Any dispute arising out of or in connection with this T&C, including any question as to the conclusion, validity or termination of this T&C, shall be referred to and finally resolved by the relevant courts in the United Kingdom.

11. Partial invalidity of provisions

11.1. Where any court having jurisdiction to decide on the matter finds any provision of this T&C to be invalid, that provision will be deleted from the T&C without affecting the other terms of this T&C, and the remainder of the T&C will be valid and enforceable.

12. Updating these Terms and Conditions

12.1. We may change our Service and Rules, and we may need to amend this T&C to accurately reflect our Service and Rules. Unless otherwise required by law, we will give you notice (for example, through our Service) before making changes to this T&C and allow you to review such changes before they take effect. If you then continue to use the Service, you will be bound by the updated T&C. If you do not agree with this T&C or any updated version of this T&C, you may terminate your account.
